UwU Chat — Terms of Service and Legal Documents

Status: Draft. Updated 2026-06-15. This document covers the required legal content for the UwU Chat sign-up flow, the clauses that must appear in the ToS, and the implementation plan for the sign-up agreement UI.

1. Why This Matters

Before launch, UwU Chat needs three legal documents:

  1. Terms of Service — defines what users can and cannot do
  2. Privacy Policy — explains what data is collected and how it is used
  3. Sign-up Agreement — three explicit checkboxes on the registration form

Without these, the platform has no legal standing to enforce user behavior, no Section 230-adjacent defense for user-generated characters, and no compliance with state AI companion chatbot disclosure laws (NY, CA).

2. Sign-up Agreement Checkboxes

These must appear on the registration screen as three separate, unchecked checkboxes that are all required to proceed. A single "I agree to everything" checkbox is legally weaker.

[ ] I am 18 years of age or older.

[ ] I have read and agree to the Terms of Service and Privacy Policy.

[ ] I understand that UwU Chat is for entertainment purposes only.
    Characters are AI-generated and do not provide professional advice
    of any kind.

The sign-up API endpoint must validate that all three flags are true. A request with any flag missing or false returns HTTP 422.

Data recorded at sign-up

Field Purpose
tos_agreed (bool) Was ToS accepted?
age_confirmed (bool) Did user confirm 18+?
entertainment_confirmed (bool) Did user confirm entertainment-only?
tos_agreed_at (datetime) When the agreement was made
tos_agreed_ip (string) IP address at time of agreement (audit trail)

These fields must be added to the user model and migrated.

3. Terms of Service — Required Clauses

3.1 Age Restriction

UwU Chat is strictly for users who are 18 years of age or older. By creating an account and completing the sign-up agreement, you confirm that you meet this requirement. We reserve the right to terminate accounts if we have reasonable cause to believe a user is under 18.

While we do not require ID verification, we rely on your credit card payment and your explicit agreement as confirmation of your age. Providing false information about your age is a violation of these Terms and may result in immediate account termination.

3.2 Entertainment Purposes Only

UwU Chat is an entertainment platform. The AI characters you interact with are fictional and do not represent real people or licensed professionals. Nothing communicated by any character on this platform constitutes medical, legal, financial, psychological, or any other form of professional advice.

Do not rely on character responses for real-world decisions. Always consult a qualified professional for matters affecting your health, finances, or legal situation.

3.3 AI Disclosure

All characters on UwU Chat are generated by artificial intelligence. Characters may be designed to simulate realistic conversation, but they are not real people. They do not have genuine emotions, memories (beyond what the platform provides), or awareness.

A persistent [AI Character] label is displayed in the interface to satisfy state and federal AI disclosure requirements.

3.4 Prohibited Content

Users may not create, use, or share characters that:

  • Engage in or depict sexual or romantic content involving anyone described as or implied to be under 18 years of age, in any form
  • Impersonate licensed medical, mental health, legal, or financial professionals in a way that could be mistaken for real professional advice
  • Target, harass, or threaten specific real-world individuals by name
  • Provide instructions for creating weapons, explosives, or dangerous substances
  • Are designed to circumvent the platform's safety systems (prompt injection, jailbreaking, etc.)

Violations may result in immediate account termination and may be reported to relevant authorities where required by law.

3.5 User-Generated Characters

You are responsible for the characters you create. By creating a character, you confirm it complies with these Terms. Capsize LLC is not responsible for character behavior that falls within these Terms, but we reserve the right to remove any character that violates them.

You grant Capsize LLC a license to host, store, and operate your characters on the platform for the purpose of providing the service.

3.6 Platform Moderation

We reserve the right to remove content, suspend, or permanently terminate accounts that violate these Terms, at our sole discretion. We are not obligated to provide advance notice before taking moderation action.

We provide community reporting tools. Use them. Reporting a character that violates these Terms helps protect all users.

3.7 Crisis Resources

If a character conversation touches on themes of self-harm, suicide, or emotional distress, the platform will display crisis resources. These are provided for user safety and are not part of the AI character's response.

3.8 Governing Law and Dispute Resolution

These Terms are governed by the laws of [STATE]. Any disputes arising from these Terms or your use of UwU Chat will be resolved by binding arbitration under the rules of [ARBITRATION BODY], rather than in court, except where prohibited by law. You waive any right to a class action.

(Jurisdiction and arbitration body to be filled in before launch — consult legal counsel.)

3.9 Limitation of Liability

To the fullest extent permitted by law, Capsize LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of UwU Chat, including but not limited to reliance on AI character responses.

4. Privacy Policy — Key Points

(Full text to be drafted by legal counsel. These are the key points that must be covered.)

Topic What to cover
Data collected Account info (email, payment), character data, chat history, usage logs
Data not collected Chat content is not used for model training without explicit consent
Data retention How long chat history is kept; right to delete
Third parties LLM providers (OpenRouter), payment processor, hosting
GDPR / CCPA Right to access, right to deletion, data portability
Cookies / tracking What analytics are used
Contact DPA contact and how to make a data request

5. Implementation Plan

Backend

  1. Add fields to the User model:

    tos_agreed = Column(Boolean, default=False, nullable=False)
    age_confirmed = Column(Boolean, default=False, nullable=False)
    entertainment_confirmed = Column(Boolean, default=False, nullable=False)
    tos_agreed_at = Column(DateTime, nullable=True)
    tos_agreed_ip = Column(String(64), nullable=True)
  2. Generate Alembic migration:

    docker compose exec server airunner-generate-migration "add tos agreement fields to user"

  3. Update the sign-up/registration endpoint to:

    • Require tos_agreed, age_confirmed, entertainment_confirmed all true
    • Record tos_agreed_at and tos_agreed_ip from the request
    • Return 422 with {"detail": "Agreement required"} if any flag is missing

Frontend

  1. Add three separate required checkboxes to the sign-up form
  2. Disable the submit button until all three are checked
  3. Add static pages: /terms and /privacy (rendered from Markdown)
  4. Link both pages from the sign-up form checkboxes
  5. Add persistent [AI Character] label under character name in chat view (satisfies state disclosure laws; see UwuChat-Safety-Architecture.md § 2)

6. Before Launch Checklist

  • Have a lawyer review the ToS and Privacy Policy drafts
  • Fill in governing law jurisdiction and arbitration body (§ 3.8)
  • Draft the full Privacy Policy text
  • Confirm GDPR/CCPA compliance requirements for your user base
  • Confirm age-gate strategy is sufficient with legal counsel
  • Add ToS version field to user model so future ToS updates can be tracked
